SPVs are used widely within the financial sector including the funds and asset management industry. In this session, Gary Palmer, Ronan O’Reilly and Richard Kelly will discuss the legal, regulatory and tax implications of establishing SPVs in Ireland.
Topics addressed will include – types of SPV (company law and CBI regulatory requirements) ; use cases; risks (valuation; administration; look through/ safe-keeping); regulatory requirements – UCITS and AIFM Directives; CBI rules.

Gary has spent over 25 years in the international investment funds, asset management and structured finance industry sectors in Ireland. He is currently the Chief Executive of the Irish Debt Securities Association (IDSA), the industry association for the SPV sector, a role he has fulfilled since May 2012. A holder of the CIFD, Certified Investment Fund Director, Gary also serves as an independent non-executive director for a small number of investment funds, management and industry companies. He is the former Chair of the Irish Fund Directors Association (IFDA).
Prior to his current roles, Gary spent the previous 13 years as the Chief Executive of the Irish Funds Industry Association (now known as Irish Funds.) In this role, he played an instrumental role in the development and global promotion of Ireland’s investment funds industry.
Ronan is a Certified Investment Fund Director and a Consultant with JTC Group, Ireland. He has acted as a Director of SPVs involved in structured finance and aviation leasing for the past 15 years and is a former Director of the Irish Debt Securities Association.
A Chartered Accountant by profession, he has previously worked as Managing Director for a number of corporate services providers in Ireland and VP - Structured Credit for Deutsche Bank, London.
Richard advises asset managers, arrangers, issuers, investors and agents on a range of finance, debt capital markets and structured finance transactions involving Irish entities. These include CLOs, RMBS, CMBS, SRT, ABS and other securitisation structures, repackagings, structured products, ETP and ETC programmes, corporate bond issuances and fund-linked investment strategies (such as segregated managed accounts and private credit funds).
Richard also advises on regulatory issues relating to the trading of financial instruments and digital assets. Richard has advised many of the world’s largest banks and asset managers on risk retention rules, market abuse regulations, derivatives, repurchase and reverse repurchase, securities lending and prime brokerage transactions (particularly the application of EMIR, SFTR, AIFMD, the Financial Collateral Directive and netting / set-off in Ireland). Richard has also acted for a number of leading crypto custodians in drafting their custody and trading documents for the European market.
Prior to joining Ogier Richard was a partner at another leading Irish law firm. Richard is ranked by both IFLR 1000 and Legal 500.
Richard is the president of the EU and International Affairs Committee of the Law Society of Ireland and regularly chairs working groups of the Irish Debt Securities Association.
